Terms of Service
These Terms of Service ("Terms") govern your use of premiumsolutions.ai and the AI agents, AI search visibility, workflow automation, custom software, integration and related technology services (the "Services") provided by Premium Solutions LLC, a Tennessee limited liability company ("Premium Solutions," "we," "us"). By using the Services, you agree to these Terms. If you use the Services for a business, you agree to them on that business's behalf.
1. Services and statements of work
The scope, deliverables, fees and timelines for each engagement are set out in a proposal, order form or statement of work ("SOW"). If an SOW conflicts with these Terms, the SOW controls for that engagement.
2. Your responsibilities
- Give accurate information and the access we reasonably need to deliver the Services.
- Have the rights and consents needed for any data you provide or ask us to process, including notices and consents required for calls, recordings and text messages to your customers.
- Comply with all applicable laws, and with the terms of the third-party platforms you connect.
- Keep your account credentials secure and tell us promptly about any unauthorized use.
3. AI outputs
The Services use artificial intelligence, which can produce inaccurate or incomplete results. You are responsible for reviewing outputs and configuring approvals appropriate to your business before relying on them. We do not guarantee specific rankings, citations in AI-generated answers, or other marketing results, because third-party platforms control those.
4. Fees and payment
You agree to pay the fees in your SOW or order form. Unless stated otherwise, fees are due within 15 days of the invoice date, and recurring fees are billed in advance. Payments may be handled by third-party processors under their own terms. We may suspend Services for accounts that are past due.
5. Acceptable use
You may not use the Services to break the law, send unsolicited messages, infringe others' rights, spread malware, attempt unauthorized access, or deceive people in harmful ways. We may suspend or end access for any violation.
6. Intellectual property
You keep ownership of your data, content and brand materials. When you have paid in full, you own the deliverables created specifically for you, as described in your SOW. We keep ownership of our pre-existing tools, frameworks and know-how, and grant you a license to use any that are built into your deliverables.
7. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms.
8. Third-party services
The Services may connect to third-party products, such as AI model providers, telephony, CRMs and payment processors. We are not responsible for third-party services, and their own terms apply.
9. Disclaimers
EXCEPT AS EXPRESSLY STATED IN AN SOW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE FEES YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE IT.
11. Indemnity
You will defend and indemnify Premium Solutions against third-party claims arising from your data, your use of the Services in violation of these Terms or the law, or your products and services.
12. Term and termination
Either party may end an engagement as set out in the applicable SOW. Either party may also end these Terms if the other materially breaches them and does not cure the breach within 30 days of notice. Sections that by their nature should survive termination will survive.
13. Governing law
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Tennessee.
14. Changes
We may update these Terms. We will post the new version here with a new effective date. If you keep using the Services after the change, you accept the updated Terms.
